Terms of Service

These Terms of Service ("Terms") govern your use of OctoLead's website, cloud agent, connectors, and related services (the "Service"). The Service is operated by Hanmin Wang in China ("OctoLead," "we," "us," or "our").

These Terms are intended to describe the current Service and allocate responsibility between you and OctoLead. They are not a guarantee that every feature will always be available and are not a substitute for legal advice. Mandatory rights under applicable law are not excluded.

1. Acceptance and Eligibility

By creating an account, connecting a third-party service, or otherwise using the Service, you agree to these Terms and the Privacy Policy. If you use OctoLead for an organization, you represent that you have authority to bind that organization and authorize the accounts and data you connect.

You must be legally capable of entering into these Terms. If applicable law requires parental, guardian, employer, or organizational consent, you may use the Service only after obtaining it.

2. The Service

OctoLead is a cloud AI agent that can analyze information, use tools, interact with connected services, execute code in isolated environments, and generate files or other outputs in response to user instructions. Features may be experimental, provided in beta, subject to limits, or changed as the product develops.

We may add, remove, suspend, or modify features, connectors, models, limits, and supported providers. We do not guarantee uninterrupted availability, a particular model or provider, or that a connector will continue to support every operation.

3. Accounts and Security

You must provide accurate account information, keep your credentials secure, and promptly notify us if you suspect unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise.

Do not share access in a way that defeats account, security, entitlement, or usage controls. We may require identity, ownership, or authority verification before processing sensitive account requests.

4. Connected Accounts and Your Authority

You decide which third-party accounts and suites to connect and which tasks to request. You represent that you own, administer, or otherwise have authority to grant OctoLead the requested access and to process the relevant data.

OAuth scopes describe the maximum technical authority granted by a provider; they do not authorize you or OctoLead to violate law, contract, workplace policy, confidentiality duties, or another person's rights. You are responsible for reviewing the provider's consent screen and for limiting or revoking access when it is no longer needed.

Disabling a connector and disconnecting a connector have different effects. Disabling applies to new sessions; a previously issued short-lived access token may remain usable in an already-running sandbox until it expires or that sandbox terminates. Disconnecting removes the stored credential from the OctoLead Vault and prevents new refreshes or credential-dependent calls, but it does not automatically revoke OctoLead at the provider, invalidate a token already present in a running sandbox, or delete historical tasks, chats, tool results, or artifacts. You must use the provider's account controls, including the Google Account connections page, when you also want to revoke provider-side access.

5. Google Services

Google is an independent third party. OctoLead is not endorsed by, sponsored by, or affiliated with Google merely because the Service supports Google APIs. Google services remain subject to Google's terms, policies, quotas, account permissions, and availability.

Google Workspace connectors may read or act on Docs, Sheets, Slides, Drive, or Gmail content in response to your explicit instructions and within the permissions you grant.

The current Google Analytics connector is read-only. The Google Ads OAuth adwords scope is technically broad, but OctoLead's current Google Ads implementation is limited to account discovery and bounded, read-only reporting. It does not currently create, edit, pause, or delete campaigns, ads, keywords, budgets, billing settings, or users. This product limitation may be revised only with corresponding product, policy, and consent updates; it does not expand your authority over any Google account.

OctoLead's handling of Google user data is further described in the Privacy Policy and is intended to comply with the Google API Services User Data Policy, including Limited Use requirements.

6. AI-Generated Output and Automated Actions

AI and tool output may be incomplete, inaccurate, outdated, offensive, or unsuitable for your circumstances. The Service may misunderstand instructions or produce unexpected actions. You must review important output and confirm recipients, permissions, files, calculations, claims, and proposed actions before relying on or distributing them.

Do not rely on OctoLead as the sole basis for legal, medical, financial, employment, safety-critical, or other high-impact decisions. OctoLead does not provide professional advice. You remain responsible for decisions, submissions, communications, and actions performed at your direction, including actions in connected services.

7. Third-Party Services

The Service depends on independent providers, which may include Supabase, Vercel, Render, E2B, Cloudflare R2, OpenRouter, upstream AI model providers, Google, and other connectors you select. Their services are governed by their own terms and policies. Availability, data locations, model behavior, quotas, and retention practices may vary.

OctoLead is not responsible for a third party's independent services, content, account decisions, outages, or changes, except to the extent responsibility cannot be excluded under applicable law. Your use of a third-party account must comply with that provider's terms.

8. Acceptable Use

You may not use the Service to:

  • violate law, regulation, sanctions, court orders, or another binding obligation;
  • access an account, system, or data without authorization;
  • infringe intellectual property, privacy, publicity, confidentiality, or other rights;
  • distribute malware, exploit vulnerabilities without authorization, evade security controls, or disrupt systems;
  • facilitate fraud, deception, impersonation, phishing, spam, harassment, abuse, or unlawful surveillance;
  • generate or distribute unlawful content or content that creates a serious and foreseeable risk of harm;
  • obtain credentials or secrets you are not authorized to possess;
  • resell, scrape, reverse engineer, or overload the Service except as permitted by law or written agreement; or
  • use outputs or connected data in a way prohibited by the relevant provider's terms or policies.

We may investigate suspected violations and limit or suspend access when reasonably necessary to protect users, providers, OctoLead, or the public.

9. Your Content and Instructions

You retain ownership of content you submit to the extent you owned it before submission. You grant OctoLead a limited, non-exclusive license to host, copy, process, transmit, and display your content only as reasonably necessary to operate, secure, and improve the user-facing Service, comply with your instructions, and meet legal obligations.

You represent that you have the rights and permissions needed for the content, connected data, and instructions you provide. You are responsible for maintaining copies of important inputs and outputs; the Service is not a guaranteed archival or backup system.

Subject to applicable law and third-party rights, you may use generated output. Because AI systems can produce similar output for different users, output may not be unique, and OctoLead does not guarantee that output is eligible for intellectual-property protection or free of third-party claims.

10. OctoLead Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by OctoLead or its licensors and is protected by applicable law. These Terms grant only a limited, revocable, non-transferable right to use the Service; they do not transfer ownership of the Service or third-party technology.

You may provide feedback. Unless prohibited by law, we may use feedback without restriction or payment, provided we do not publicly identify you as its source without permission.

11. Paid Features

If OctoLead offers paid plans or usage, the price, billing interval, included usage, taxes, renewal terms, and cancellation method shown at purchase form part of these Terms. You authorize the stated charges. Except where law or the purchase terms require otherwise, fees already incurred are non-refundable.

We may enforce usage, rate, or credit limits and may change future pricing with advance notice when required. A payment dispute does not authorize continued use of unpaid features.

12. Privacy

The Privacy Policy explains how OctoLead processes information, including connector credentials, Google user data, AI processing, service providers, retention, disconnection, revocation, export, and deletion requests. By using the Service, you acknowledge that processing necessary to provide your requested features will occur as described there.

13. Suspension and Termination

You may stop using the Service at any time. You may request account deletion by contacting humminwang@gmail.com. Deleting an account or disconnecting a connector may not immediately remove backups, security records, legally required records, or information already sent to a third party at your direction.

We may limit, suspend, or terminate access if we reasonably believe you violated these Terms, created a security or legal risk, failed to pay applicable charges, or if continued operation is no longer reasonably possible. Where appropriate and legally required, we will provide notice and an opportunity to address the issue.

Sections that by their nature should survive termination, including ownership, disclaimers, limitations, dispute provisions, and accrued payment obligations, will survive.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, secure against every threat, or suitable for every purpose; that connected data will always be current; or that AI output will be accurate, unique, or non-infringing.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

15. Limitation of Liability

To the maximum extent permitted by applicable law, OctoLead will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from use of the Service.

To the maximum extent permitted by law, OctoLead's aggregate liability arising out of the Service will not exceed the amount you paid OctoLead for the Service during the twelve months before the event giving rise to liability, subject to any minimum remedy or liability that applicable law requires. These limitations do not apply where liability cannot lawfully be limited, including liability for fraud, intentional misconduct, or other categories protected by mandatory law.

16. Governing Law and Disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Subject to mandatory consumer rights and jurisdiction rules, disputes that cannot be resolved informally will be submitted to a competent court at the operator's domicile in China.

Before filing a claim, please contact us and allow a reasonable opportunity to resolve the concern informally. This requirement does not prevent either party from seeking urgent relief or exercising rights that cannot be waived.

17. Changes to These Terms

We may update these Terms as the Service or law changes. We will publish updated Terms with a new effective date and provide additional notice when required. If you do not agree to a material update, you should stop using the affected Service. Changes do not retroactively waive claims that already arose unless applicable law permits.
